Bunches Terms and Conditions

These Terms and Conditions ("Agreement") govern your use of the sumo.market Marketplace, operated by Bunches LLC. By registering as a buyer, broker, or both, you agree to be bound by these Terms and Conditions. This Agreement applies globally, but Bunches reserves the right to modify or supplement these terms to comply with relevant local laws.
Important: Brokers and buyers are responsible for ensuring compliance with all applicable laws in their respective jurisdictions.

1. Introduction and Scope of Services
1.1 Platform Purpose: Bunches provides a platform that connects buyers ("Users") and brokers ("Users") for the purchase and sale of goods or services. Bunches acts as a facilitator and is not an agent, guarantor, or principal in any transaction.
1.2 User Obligations: Users must carefully read and understand the terms of each deal before committing and ensure compliance with applicable laws.
1.3 Changes to Terms: Bunches reserves the right to modify these Terms and Conditions as needed. Significant changes will be communicated via platform notifications or email at least 30 days in advance. Continued use of the platform after the effective date constitutes acceptance.

2. How Deals and Payments Work
2.1 Step-by-Step Process:
•    Stage 1: Expressing Interest: Users can express interest in a deal by adding their name to the buyer list. No payment is charged at this stage, but nominal verification fees (e.g., card checks) may apply.
•    Stage 2: Deal Activation: When the required number of buyers is reached, the deal becomes active, and payments are collected. Opting out is no longer permitted after this stage.
•    Stage 3: Payment Disbursement: Funds collected are disbursed to brokers as per the deal terms:
•    Option 1: Payment is released immediately after activation.
•    Option 2: Payment is released only after the broker fulfills the deal.
2.2 Fulfilled Deal Definition: A deal is considered fulfilled when the broker delivers goods or services as specified in the deal advertisement.
2.3 Transaction Fees: Bunches charges a transaction fee of 1%-5% of the charged price. These fees are subject to change but will be disclosed before activation.
2.4 Buyer Responsibility: Buyers must assess risks before committing to a deal, considering factors such as broker ratings, deal history, transparency, and deal terms.

3. Broker Obligations
3.1 Accurate Listings: Brokers must provide complete, accurate, and lawful information in their deal advertisements.
3.2 Refunds: Refund policies are at the discretion of the broker and must be clearly stated in the deal terms. Bunches does not guarantee refunds.
3.3 Legal Compliance: Brokers are responsible for complying with all applicable laws, including intellectual property, consumer protection, and tax laws.
3.4 Indemnification: Brokers indemnify Bunches against claims arising from fraud, misrepresentation, or any legal violations in connection with their deals.

4. User Forums, Reviews, and Content
4.1 Acceptable Use: Users may participate in forums and leave reviews but must adhere to local laws, Sumo.Market policies, and community guidelines.
4.2 Prohibited Content: Content that violates laws, infringes on intellectual property, promotes hate speech, or breaches community guidelines is prohibited.
4.3 Moderation and Consequences: Bunches reserves the right to remove content, suspend accounts, or impose other penalties for violations.

5. Payments and Disputes
5.1 Dispute Resolution:
•    Internal Resolution: At its discretion, Bunches may attempt to mediate disputes between users.
•    Arbitration: Unresolved disputes will proceed to binding arbitration under UNCITRAL or ICC rules, except where arbitration is unenforceable.
•    Jurisdictional Clause: Where arbitration is not permitted, disputes will be resolved in the courts of the country where Bunches LLC is incorporated.
5.2 Dispute Costs:
•    The party initiating a dispute must pay all related costs in advance, including a fee equal to 5% of the disputed amount or $500 (whichever is greater), payable to Bunches.
•    Failure to pay will result in the dispute being dismissed.

6. Liability and Disclaimer
6.1 Platform Role: Bunches is a facilitator and is not responsible for the quality, delivery, or accuracy of goods and services provided by brokers.
6.2 User Assumption of Risk: Users acknowledge that transactions carry inherent risks. Bunches encourages users to conduct due diligence.
6.3 Jurisdictional Override: Some liability limitations may not apply in jurisdictions with overriding consumer protection or other mandatory laws.

7. Privacy and Data Protection
7.1 Compliance: Bunches collects and processes data in accordance with its Privacy Policy and applicable data protection laws, such as GDPR, CCPA, and India’s DPDP Act.
7.2 Consent: By using Bunches, users consent to data collection, storage, and use as described in the Privacy Policy.

8. Prohibited Items and Activities
8.1 Illegal Items: Users must not engage in transactions involving prohibited goods or services under applicable laws.
8.2 AML Compliance: Users must comply with anti-money laundering laws and report any suspicious activity.

9. Force Majeure
Bunches shall not be liable for delays or failures caused by events beyond its control, including natural disasters, regulatory changes, or technical failures.

10. Governing Law and Entire Agreement
10.1 Governing Law: This Agreement is governed by the laws of the jurisdiction where Bunches LLC is incorporated.

10.2 Entire Agreement: These Terms and Conditions supercede all prior agreements or communications and together with the Privacy Policy and the Agreement constitutes the entire legal agreement between the parties.
